Terms of Service

These Terms of Service ("Terms") govern your use of Solima, a sober living home management software application provided by Trust Recovery Apps, LLC ("we," "our," or "us"). By accessing or using Solima, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Solima, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, do not use Solima.

2. Description of Service

Solima is a software-as-a-service (SaaS) platform designed to help sober living home operators manage their facilities, including:

  • Resident intake, profiles, and bed assignments
  • Rent tracking and payment processing
  • Drug testing scheduling and results tracking
  • Recovery meeting attendance and compliance tracking
  • Case notes and documentation
  • House operations (chores, meetings, curfews)
  • Reporting and analytics

Solima is designed to comply with HIPAA and 42 CFR Part 2 requirements for the protection of substance use disorder patient records.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that all users you authorize to access your account comply with these Terms
  • Providing accurate and complete information when creating your account
  • Notifying us immediately of any unauthorized access to your account
  • Ensuring appropriate role-based access controls are configured for your staff

4. Data Ownership and Responsibilities

Your Data

You retain ownership of all data you enter into Solima, including resident information, payment records, and compliance data ("Your Data").

Your Responsibilities as Data Controller

As a facility operator using Solima, you are the data controller for resident information. You are responsible for:

  • Obtaining appropriate consent from residents before entering their data, including consent that meets 42 CFR Part 2 requirements
  • Determining what information to collect and how to use it
  • Ensuring the accuracy of data you enter
  • Responding to resident requests regarding their personal information
  • Complying with applicable privacy laws and regulations, including 42 CFR Part 2 and HIPAA where applicable
  • Training your staff on privacy and confidentiality requirements
  • Using Solima in accordance with your facility's privacy policies

Our Role as Data Processor

We process Your Data solely to provide Solima's services and as described in our Privacy Policy. We act as your business associate under HIPAA and will comply with the requirements of 42 CFR Part 2 for any records we process on your behalf.

Business Associate Agreement

We will enter into a Business Associate Agreement (BAA) with customers who require one. The BAA governs our obligations regarding protected health information and is incorporated into these Terms by reference.

5. Privacy and Confidentiality

Resident records in Solima are protected by federal law under 42 CFR Part 2. You acknowledge and agree that:

  • Disclosure of resident information generally requires the resident's written consent meeting specific regulatory requirements
  • Any information disclosed must include the required re-disclosure prohibition notice
  • You will not use Solima to disclose resident information in violation of 42 CFR Part 2
  • You will maintain appropriate consent documentation for any disclosures you make

6. Acceptable Use

You agree to:

  • Use Solima only for lawful purposes related to sober living home management
  • Maintain appropriate access controls and not share credentials
  • Comply with all applicable laws, including privacy regulations
  • Report any security incidents or suspected breaches immediately

You agree not to:

  • Use Solima for any unlawful purpose
  • Share your account credentials with unauthorized individuals
  • Attempt to gain unauthorized access to Solima's systems or other users' data
  • Interfere with or disrupt Solima's services or infrastructure
  • Reverse engineer, decompile, or disassemble any part of Solima
  • Use Solima to harass, abuse, or harm others
  • Transmit viruses, malware, or other harmful code
  • Disclose resident information in violation of 42 CFR Part 2 or other applicable laws

7. Security Requirements

To maintain the security and compliance of Solima, you agree to:

  • Use strong, unique passwords for all accounts
  • Enable multi-factor authentication when available
  • Configure appropriate role-based access for your staff
  • Promptly remove access for staff who no longer require it
  • Access Solima only from secure networks and devices
  • Report any suspected security incidents immediately

8. Payment Terms

Subscription Fees: Solima is offered on a subscription basis. Fees are billed in advance on a monthly or annual basis depending on your selected plan.

Payment Processing: Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

Price Changes: We may change subscription fees with 30 days' notice. Continued use after a price change constitutes acceptance of the new fees.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to Solima. We may temporarily suspend service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned maintenance when possible.

For planned maintenance that may affect service availability, we will notify you at least 24 hours in advance when feasible.

10. Data Export and Portability

You may export Your Data at any time through Solima's export features. We support export in standard formats to facilitate data portability. Upon account termination, you may request a data export within 30 days.

11. Intellectual Property

Solima, including its design, features, and code, is owned by Trust Recovery Apps, LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

You grant us a limited license to use Your Data solely to provide and improve Solima's services as described in these Terms and our Privacy Policy.

12. Disclaimer of Warranties

SOLIMA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that Solima will meet your specific requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

Compliance Disclaimer: While Solima is designed to support compliance with HIPAA and 42 CFR Part 2, you are responsible for your own compliance. Solima is a tool to assist your compliance efforts, not a guarantee of compliance.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUST RECOVERY APPS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF SOLIMA.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF SOLIMA SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Trust Recovery Apps, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of Solima
  • Your violation of these Terms
  • Your violation of any applicable law, including privacy regulations
  • Your disclosure of resident information in violation of 42 CFR Part 2 or other laws
  • Your violation of any rights of a third party

15. Termination

By You: You may terminate your account at any time by contacting us or using the account settings.

By Us: We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with 30 days' notice (or immediately for serious violations including security breaches or privacy violations).

Effect of Termination: Upon termination, your right to use Solima ends. You may request export of Your Data within 30 days of termination. After that period, Your Data may be deleted in accordance with our data retention policies and applicable law.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through Solima at least 30 days before changes take effect. Your continued use after changes take effect constitutes acceptance of the modified Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Solima shall be resolved in the state or federal courts located in Florida.

18. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and us regarding Solima.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
